MCA has notified draft Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2025 on 04/04/2025 in order to expand the scope of fasttrack mergers and to make the process more simple. The proposed rules will Benefit a Wider Spectrum of Companies. The MCA has now proposed to expand the scope of fast-track mergers to include unlisted companies with reasonable debt exposure and no default in repayment of borrowings, as well as a holding company and its unlisted subsidiary companies. Also, mergers of foreign companies with Indian companies are proposed to be included under a fast-track mechanism. MCA invite suggestions/comments on such draft amendment from stakeholders. Comments/suggestions on the draft rules along with justifications in brief has to be sent latest by 05th May, 2025 through e-Consultation Module on the website of Ministry of Corporate Affairs.
